Welcome to SignalWire. These Terms of Service (“Terms”) govern your access to and use of the SignalWire website, platform, applications, APIs, integrations, tools, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” and “your” will refer to that organization.
If you do not agree to these Terms, do not access or use the Services.
1. About SignalWire
SignalWire provides an agentic workflow and automation platform designed to help organizations build, operate, and manage automated processes across their tools, systems, and data.
The Services may include workflow configuration, AI-powered agents, automated actions, integrations with third-party applications, analytics, collaboration features, and other functionality made available by SignalWire from time to time.
2. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding agreement to use the Services.
To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep that information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly if you become aware of any unauthorized access to or use of your account.
3. Use of the Services
Subject to these Terms and any applicable order form, subscription agreement, or other written agreement between you and SignalWire, SignalWire grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
You may use the Services to configure workflows, connect approved third-party systems, process information, automate tasks, generate outputs, and manage agentic actions in accordance with the features available to your account.
You are responsible for determining whether the Services are appropriate for your intended use and for reviewing, monitoring, and validating workflows and outputs before relying on them.
4. Acceptable Use
You agree not to use the Services in a manner that violates applicable law, infringes the rights of others, interferes with the operation or security of the Services, or creates unreasonable risk for SignalWire, its customers, or any third party.
You may not use the Services to:
Engage in fraudulent, deceptive, abusive, or unlawful activity.
Upload, process, or distribute content that infringes intellectual property or privacy rights.
Attempt to gain unauthorized access to the Services or related systems.
Introduce malware, malicious code, or harmful automated activity.
Reverse engineer, copy, resell, sublicense, or exploit the Services except as expressly permitted.
Use the Services to make fully automated decisions in high-risk contexts without appropriate human review, safeguards, and legal authorization.
Misrepresent AI-generated outputs as independently verified, factual, or human-created when such representation would be misleading.
We may suspend or restrict access to the Services if we reasonably believe your use violates these Terms or creates a security, legal, or operational risk.
5. AI-Powered Features and Automated Actions
The Services may use artificial intelligence, machine learning, large language models, automated agents, or similar technologies to generate content, recommend actions, route tasks, execute workflows, or interact with third-party tools.
You acknowledge that AI-generated outputs and automated actions may be inaccurate, incomplete, unexpected, or inappropriate for your intended purpose. You are responsible for configuring appropriate permissions, approval workflows, monitoring, and human oversight before allowing automated actions to affect your business operations, customers, systems, or data.
SignalWire does not guarantee that outputs will be accurate, complete, reliable, error-free, or suitable for any particular purpose. You should independently review and verify outputs before using them in material business, legal, financial, employment, healthcare, safety, or other sensitive decisions.
6. Customer Data and Content
You may submit, upload, transmit, connect, or otherwise make available data, documents, prompts, instructions, files, workflow configurations, and other content through the Services (“Customer Content”).
You retain ownership of your Customer Content. You grant SignalWire a limited right to host, process, transmit, display, and otherwise use Customer Content as necessary to provide, maintain, secure, and improve the Services, comply with applicable law, and enforce these Terms.
You represent and warrant that you have all rights, permissions, and legal authority necessary to provide Customer Content to SignalWire and to authorize its processing through the Services.
You are responsible for the accuracy, quality, legality, and appropriateness of your Customer Content and for ensuring that your use of the Services complies with applicable privacy, data protection, confidentiality, and security requirements.
7. Third-Party Services and Integrations
The Services may allow you to connect to or interact with third-party products, applications, APIs, websites, databases, or services (“Third-Party Services”).
Your use of Third-Party Services is governed by the terms and policies of the applicable third-party provider. SignalWire does not control and is not responsible for Third-Party Services, including their availability, performance, security, accuracy, or handling of your data.
By enabling an integration, you authorize SignalWire to access, transmit, and process information from the applicable Third-Party Service as necessary to provide the requested functionality.
You are responsible for maintaining valid accounts, licenses, permissions, and credentials for any Third-Party Services connected to your SignalWire account.
8. Subscription Plans and Payment
Certain features of the Services may require a paid subscription or may be subject to usage-based fees. Pricing, billing terms, usage limits, renewal terms, and applicable fees will be described in your selected plan, order form, or other applicable agreement.
Unless otherwise stated, fees are non-refundable and do not include applicable taxes. You are responsible for paying all fees and taxes associated with your use of the Services.
We may update pricing or subscription offerings from time to time. Any material changes to your applicable fees will be communicated in advance and will take effect in accordance with the applicable agreement or renewal terms.
9. Intellectual Property
SignalWire and its licensors own all rights, title, and interest in and to the Services, including the platform, software, technology, designs, interfaces, trademarks, logos, documentation, and all related intellectual property rights.
Except for the limited right to access and use the Services under these Terms, no rights are granted to you by implication, waiver, or otherwise.
If you provide suggestions, feedback, ideas, or recommendations regarding the Services, you grant SignalWire the right to use that feedback without restriction or obligation to you.
10. Confidentiality
In connection with your use of the Services, either party may receive non-public information that is confidential or proprietary to the other party (“Confidential Information”).
Each party agrees to use reasonable measures to protect the other party’s Confidential Information and to use it only as necessary to perform obligations or exercise rights in connection with the Services.
Confidential Information does not include information that is publicly available through no fault of the receiving party, already lawfully known by the receiving party, independently developed without use of the disclosing party’s Confidential Information, or lawfully obtained from a third party without confidentiality restrictions.
11. Privacy and Security
Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and handle personal information.
We use reasonable administrative, technical, and organizational measures designed to protect the Services and Customer Content. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
You are responsible for implementing appropriate safeguards within your organization, including managing user access, reviewing permissions, protecting credentials, configuring integrations, and monitoring automated workflows.
12. Service Availability and Modifications
We may modify, update, improve, discontinue, or change features of the Services from time to time. We may also perform maintenance or experience interruptions due to circumstances beyond our control.
We aim to provide reliable access to the Services, but we do not guarantee uninterrupted availability, continuous operation, or that all features will remain available indefinitely.
Where reasonably practicable, we will provide notice of material changes that significantly affect paid customers’ use of the Services.
13. Suspension and Termination
You may stop using the Services at any time. If you have a paid subscription, cancellation and termination rights may be subject to your applicable subscription or order terms.
We may suspend or terminate your access to the Services if you violate these Terms, fail to pay applicable fees, create security or legal risk, or use the Services in a manner that may harm SignalWire, our customers, or third parties.
Upon termination, your right to access and use the Services will end. Certain provisions of these Terms that by their nature should survive termination will remain in effect, including provisions regarding ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALWIRE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.
BRACKETT AI DOES NOT WARRANT THAT THE SERVICES, AI-GENERATED OUTPUTS, AUTOMATED ACTIONS, INTEGRATIONS, OR RESULTS WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PARTICULAR PURPOSES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALWIRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALWIRE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO SIGNALWIRE FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID SIGNALWIRE FOR THE SERVICES.
16. Indemnification
You agree to defend, indemnify, and hold harmless SignalWire and its affiliates, officers, directors, employees, agents, and service providers from and against claims, damages, liabilities, losses, costs, and expenses arising out of or related to:
Your access to or use of the Services.
Your Customer Content.
Your workflows, automated actions, or use of AI-generated outputs.
Your violation of these Terms.
Your violation of applicable law or the rights of any third party.
17. Governing Law and Dispute Resolution
These Terms will be governed by the laws of the State of [State], without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in [County, State], unless otherwise required by applicable law or agreed in writing by the parties.
18. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, legal requirements, or business practices.
When we make material changes, we will update the “Last Updated” date above and may provide additional notice as appropriate. Your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms.
19. General Terms
These Terms, together with any applicable order form, subscription agreement, Privacy Policy, and other expressly incorporated terms, constitute the entire agreement between you and SignalWire regarding the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms without our prior written consent. SignalWire may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
